This comprehensive study provides insight into the major market factors influencing the opinions and decision making of M&A advisors, private equity practitioners and senior corporate executives regarding the due diligence process. Specifically, this report looks at current M&A and private equity market conditions, best practices for due diligence and the application of virtual data rooms (VDRs) in M&A transactions.
Overall, respondents held a favorable view regarding the use of VDRs, and the diversity of responses provides evidence that the benefits of VDRs add value throughout the due diligence process. When asked what the deciding factors were when they had chosen a VDR over a traditional physical data room, respondents rated faster timing, 24-hour access, and cost savings from the eliminating travel as well as the monitoring of a traditional data room as most important. When asked about the most beneficial aspects of using a VDR, timing was unanimously ranked as the number one benefit.
